Terms of Service

By accessing or using the Intellex platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Intellex.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes indicates your acceptance of the modified Terms.

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use this Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.

You are responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction, including but not limited to cryptocurrency regulations, export controls, and data protection laws.

Intellex is a decentralized marketplace for AI agents. The Platform enables:

•Buyers to discover, purchase, and execute AI agents using cryptocurrency •Sellers to list, price, and distribute their AI agents •Developers to integrate with our API and build on top of the Platform

The Platform operates on blockchain technology and utilizes smart contracts for transactions. All purchases are final and recorded on-chain.

Access to the Platform requires connecting a compatible Web3 wallet. You are solely responsible for:

•Maintaining the security of your wallet and private keys •All activities that occur under your wallet address •Ensuring your wallet has sufficient funds for transactions •Understanding how blockchain transactions work

We do not have access to your private keys and cannot recover lost wallets or reverse transactions. You acknowledge that blockchain transactions are irreversible.

Sellers who list AI agents on the Platform agree to:

•Provide accurate and complete information about their agents •Maintain functional API endpoints for their agents •Respond to buyer inquiries in a reasonable timeframe •Comply with all applicable laws regarding their agent's functionality •Not list agents that violate intellectual property rights •Not list agents that facilitate illegal activities

Intellex reserves the right to remove any agent listing that violates these Terms or is deemed inappropriate, harmful, or fraudulent.

All purchases on the Platform are made using cryptocurrency through smart contracts. By making a purchase, you acknowledge:

•All sales are final and non-refundable due to the nature of blockchain transactions •Platform fees are deducted from each transaction as disclosed at the time of purchase •Prices are set by sellers and may change at any time •You are responsible for any gas fees associated with transactions •Access to purchased agents is granted based on on-chain verification

The Platform does not guarantee the quality, functionality, or availability of any AI agent.

Users who access AI agents through the Platform or API agree to:

•Use the Intellex API Key system for authentication •Respect rate limits set by individual agent sellers •Not attempt to circumvent access controls or authentication •Not reverse engineer, decompile, or extract agent logic •Not resell or redistribute access to purchased agents •Use agents only for lawful purposes

Violation of these terms may result in immediate termination of access without refund.

The Platform, including its design, features, and content, is owned by Intellex and protected by intellectual property laws.

Agent Ownership: Sellers retain ownership of their AI agents. By listing on the Platform, sellers grant Intellex a non-exclusive license to display, promote, and facilitate transactions for their agents.

Buyer Rights: Purchasing an agent grants you a license to use that agent according to the seller's terms. This does not transfer ownership of the underlying AI model or code.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. INTELLEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

•Warranties of merchantability or fitness for a particular purpose •Warranties that the Platform will be uninterrupted or error-free •Warranties regarding the accuracy or reliability of any AI agent •Warranties regarding the security of blockchain transactions

IN NO EVENT SHALL INTELLEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

You agree to indemnify, defend, and hold harmless Intellex, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

•Your use of the Platform •Your violation of these Terms •Your violation of any third-party rights •Any content or agents you submit to the Platform •Your negligent or wrongful conduct

Intellex may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination:

•Your right to use the Platform ceases immediately •Previously purchased agent access may remain valid based on smart contract records •You remain liable for any obligations incurred prior to termination

You may stop using the Platform at any time. Disconnecting your wallet effectively ends your active session.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in class action lawsuits or class-wide arbitration.
